Executive Compensation

May 2, 2024 11:00 AM - 1:00 PM ET

Online Workshop

Effective executive compensation strategies are crucial for attracting, retaining, and motivating top talent. It's important for decision makers to understand the fairness of compensation levels relative to company performance, income inequality and the alignment of executive interests with those of all stakeholders.

Those attending the Executive Compensation online workshop will receive an overview of executive compensation in the private sector, with an emphasis on publicly traded companies that are registered with the U.S. Securities and Exchange Commission (SEC).

This is a basic introductory session that does not assume any advance knowledge of executive compensation but also touches on many of the more challenging aspects of managing executive compensation in a publicly traded company that is subject to a myriad of regulatory requirements, including US stock exchange listing standards involving executive compensation governance, SEC disclosure rules, Financial Accounting Standards Board (FASB) accounting standards, tax considerations stemming from various sections of the Internal Revenue Code and associated regulations, and an appreciation of multiple and sometimes conflicting methods of valuing executive compensation.

The following topics will be covered:

  • Common elements of executive compensation plans
  • An analytical framework
  • Philosophical Considerations
  • Types of executive incentive plans, both short-term (annual), and longer-term capital accumulation and performance driven variations
  • Fundamental corporate governance considerations and dilemmas
  • Different Perspectives and Influences on Executive Compensation Plans and Payouts
  • Trends in corporate governance and plan design affecting the evolution of incentive plans
  • Typical shareholder concerns
  • Best practice plan design considerations
  • Accounting treatment of different types of long-term incentive plans
  • Corporate and individual tax effects of different types of long-term incentive plans
  • The interaction of tax and accounting effects
  • Supplemental benefits and perquisites
